AsiaInfo 2008 Annual Meeting
AsiaInfo Holdings, Inc. will hold its 2008 annual meeting for shareholders of record in Beijing PRC on April 22, 2008. The shareholder record date was March 1, 2008.

2002 Annual Meeting Minutes
MINUTES OF THE 2002 ANNUAL MEETING OF STOCKHOLDERS OF AsiaInfo Holdings Inc.
The 2002 Annual Meeting of the Stockholders of AsiaInfo Holdings, Inc. was held on April 23, 2002 at 2:00 p.m. at 4/F Zhongdian Information Tower, No. 6 Zhongguancun South Street, Haidian District, Beijing 100086, P.R. China. Mr. Louis Lau acted as the Chairman, co-chaired by Matt Adler, the Company's outside counsel, Mr. Adams Lin acted as Secretary of the Meeting, and Ms. Kammy Yuen of The Bank of New York acted as Inspector of Election for the Meeting.
Mr. Louis Lau welcomed the stockholders. Mr. Adams Lin advised that there was available at the Meeting a certified list of the holders of Common Stock as of the close of business on March 1, 2002, the record date for the Meeting, as certified by The Bank of New York, which list showed the names and addresses of all stockholders on the record date and the respective number of shares held by each. The list indicated that as of the record date, March 1, 2002, the Company had outstanding 42,693,394 shares of Common Stock entitled to vote.
Ms. Kammy Yuen announced that she had signed her Inspector's Oath which is attached hereto as Exhibit A. The Inspector completed her report and announced that stockholders holding in excess of a majority of the votes entitled to be cast at the Meeting were present in person or by proxy. Mr. Matt Adler announced that there was available at the Meeting a copy of the Notice of Annual Meeting of Stockholders dated March 22, 2002. Attached hereto is an affidavit of mailing of the Notice of Meeting and related proxy statement as Exhibit B.
Mr. Matt Adler then announced that the first order of business was to elect three Class III directors to serve until the Annual Meeting of Stockholders to be held in 2005 or until their respective successors are duly elected and qualified. The nominees for Class III Directors are Chang Sun, Edward Tian and Michael Zhao.
A vote on the motion to elect Chang Sun was taken and upon receiving the report of the Inspector of Election reporting the results thereof, the Co-chairman announced that 31,885,656 shares had been voted in favor of the motion, and 77,867 shares had been withheld.
A vote on the motion to elect Edward Tian was taken and upon receiving the report of the Inspector of Election reporting the results thereof, the Co-chairman announced that 31,879,656 shares had been voted in favor of the motion, and 83,867 shares had been withheld.
A vote on the motion to elect Michael Zhao was taken and upon receiving the report of the Inspector of Election reporting the results thereof, the Co-chairman announced that 31,327,801 shares had been voted in favor of the motion, and 635,722 shares had been withheld.
The report of the Inspector of Election is attached hereto as Exhibit C.
The Co-chairman stated that the adoption of the proposal has been approved.
The Co-chairman stated that the next item of business was to ratify the appointment of Deloitte Touche Tohmatsu as the Company's independent auditors for the fiscal year 2002.
A vote on the motion was taken and upon receiving the report of the Inspector of Election reporting the results thereof, the Co-chairman announced that 31,767,922 shares had been voted in favor of the motion, 91,847 shares against, and 103,754 shares abstained.
The report of the Inspector of Election is attached hereto as Exhibit D.
The Co-chairman stated that the adoption of the proposal has been approved.
There being no further business to come before the Meeting, it was moved and seconded to adjourn the Meeting, which motion was carried.
